"In spite of" and "despite" mean exactly the same thing, and the conversion is a straight substitution — with ONE critical difference in form: IN SPITE OF + noun DESPITE + noun (no "of") Option (d) writes "Despite of", which is never correct, and it is the single commonest error in this construction. The "of" belongs to "in spite of" and must be dropped when you switch.
Option (a) changes the tense and turns "warnings" into something Anshul pays. Option (c) reverses which fact is conceded and which asserted.
Remember that DESPITE is followed by a NOUN or a GERUND, never by a full clause. "Despite he was warned" is wrong; "despite being warned" is right.
